Readily — Terms of Service

1. Agreement to these terms

These Terms of Service (“Terms”) are a legal agreement between you (the parent or guardian who creates and holds the account, “you”) and Readily Ltd (“Readily”, “we”, “us”, “our”). They govern your use of the Readily platform, including Readily Reader (AI-generated personalised phonics storybooks) and Readily Writer (AI writing feedback).

By creating an account, ticking the acceptance box, or using Readily, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use Readily.

You must be at least 18 years old to create an account and accept these Terms.

2. How Readily is structured: accounts and child profiles

2.1 Readily is built around a single parent account, held and controlled by you. You are the account holder and the only person authorised to manage billing, settings, and child profiles.

2.2 Within your parent account, you may create child profiles for the children in your care. Child profiles are not separate accounts and cannot be logged into independently, manage billing, or exist outside your account. You are responsible for all activity under your account, including all child profiles.

2.3 You confirm that you are the parent or legal guardian of each child for whom you create a profile, and that you consent to that child's use of Readily under your supervision.

3. Eligibility and account rules

3.1 You may create up to five (5) child profiles per account. This limit is the same across all subscription tiers.

3.2 You are responsible for keeping your login credentials secure and for all activity that occurs under your account. Notify us promptly at readily.admin@gmail.com if you believe your account has been accessed without authorisation.

3.3 You agree to provide accurate account information and to keep it up to date.

4. Subscriptions, billing, and cancellation

4.1 Readily is offered on a subscription basis across the following tiers: Standard, Standard+, Premium, and Premium+. Each tier includes a monthly allowance of generated books and, depending on tier, writing feedback. Generation limits apply across the whole account and are shared among all child profiles — for example, a monthly book allowance is a total for the account, not a separate allowance per child.

4.2 Subscription fees are billed monthly in advance in New Zealand dollars (NZD) and processed by our payment provider, Stripe. We do not store your card details.

4.3 You may cancel at any time from within the app. When you cancel, your subscription remains active until the end of the current paid period, after which it will not renew and paid features will no longer be available.

4.4 Except where required by law, subscription fees are non-refundable, including for partial billing periods or unused allowances. Nothing in this clause limits your rights under the New Zealand Consumer Guarantees Act 1993, which cannot be excluded.

4.5 We may change our pricing or tier structure. If we do, we will give you advance notice and the change will take effect at your next billing cycle. Continued use after the change takes effect constitutes acceptance of the new pricing.

5. Free trial

5.1 We may offer a free trial that provides access to premium features subject to lifetime caps (for example, a limited number of books and writing feedback items). The specific caps are shown in the app at the time of trial.

5.2 The free trial does not automatically convert to a paid subscription. No payment card is required to start a trial, and you will not be charged unless and until you actively choose to subscribe.

5.3 Trial caps are lifetime limits per account, not recurring allowances.

6. The service and what it does

6.1 Readily generates children's reading and writing content that is aligned with the New Zealand Ready to Read Phonics Plus scope and sequence. Readily is a learning aid designed to support literacy development. It is not a formal educational assessment, does not diagnose learning difficulties, and is not a substitute for a qualified teacher.

6.2 We do not represent that Readily's content has been reviewed or endorsed by named educators unless and where we expressly state so with verifiable credentials.

6.3 Readily content is generated by artificial intelligence. AI can make mistakes, produce unexpected results, or occasionally get facts wrong. We build controls to keep content age-appropriate and curriculum-aligned, but we ask you to supervise your child's use. If you see content that concerns you, please report it via the feedback button in the app or email readily.admin@gmail.com.

7. Acceptable use

7.1 You agree not to, and not to permit anyone using your account to:

  • copy, scrape, harvest, or systematically extract content or data from Readily
  • reverse engineer, decompile, or attempt to derive the source code or underlying models of Readily
  • resell, sublicense, or commercially exploit Readily or its generated content
  • use Readily's outputs to train, fine-tune, or develop any competing AI model or service
  • upload unlawful, harmful, abusive, or infringing content through the writing or dictation features
  • attempt to circumvent generation limits, access controls, or security measures
  • use Readily in any way that breaches applicable law

7.2 We may suspend or terminate access for breach of this section (see Section 13).

8. Intellectual property and content ownership

8.1 Readily and all underlying technology — including the platform, prompt structures, models, and design — are owned by Readily Ltd or our licensors. Nothing in these Terms transfers ownership of that technology to you.

8.2 Generated storybooks: When Readily generates a storybook for your child, to the extent we hold any rights in the generated content, we grant you a perpetual, non-exclusive, non-transferable licence to use, view, download, and print that storybook for personal and family use only. This licence does not permit commercial use, resale, or redistribution.

8.3 Your child's writing: Your family retains all rights in the original writing your child submits to Readily Writer. You grant us a limited, non-exclusive licence to process, store, and display that writing solely for the purpose of providing the service (generating feedback, tracking progress, and delivering it back to you). We do not claim ownership of your child's writing, and we do not use it to train AI models.

9. AI processing and third-party providers

9.1 To deliver the service, Readily sends some content to specialist third-party AI providers who process it on our behalf. These currently include Anthropic (text generation), Fal.ai (image generation), and OpenAI (read-aloud and dictation). The data sent to each, and the safeguards that apply, are described in our Privacy Policy.

9.2 We do not use your child's stories, writing, or voice to train AI models — ours or our providers' — as detailed in our Privacy Policy.

9.3 Institutional, classroom, or school use of Readily may require a separate agreement. These Terms cover individual family use only.

10. Availability and changes to the service

10.1 We aim to keep Readily available and reliable, but we do not guarantee uninterrupted or error-free service. We may perform maintenance, update features, or modify the service from time to time.

10.2 We may add, change, or remove features. If a change materially reduces the core functionality you are paying for, your rights under Section 4 and applicable consumer law continue to apply.

11. Warranties and disclaimers

11.1 Readily is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all implied warranties, including fitness for a particular purpose and merchantability.

11.2 Nothing in these Terms excludes, restricts, or modifies any guarantee, right, or remedy under the New Zealand Consumer Guarantees Act 1993 or any other law that cannot lawfully be excluded.

12. Limitation of liability

12.1 To the fullest extent permitted by law, our total aggregate liability to you arising out of or in connection with these Terms or your use of Readily is limited to the total subscription fees you paid to us in the twelve (12) months immediately before the event giving rise to the claim.

12.2 We are not liable for indirect, incidental, or consequential loss, or for loss of data, profits, or goodwill.

12.3 Nothing in this section limits liability that cannot be limited by law, including under the Consumer Guarantees Act 1993.

13. Suspension and termination

13.1 You may stop using Readily and cancel at any time (see Section 4.3).

13.2 We may suspend or terminate your access if you materially breach these Terms, or if required by law.

13.3 If we discontinue Readily entirely, we will give account holders at least 30 days' notice and provide a pro-rata refund of any prepaid fees covering the period after discontinuation.

13.4 On termination, your licence to use the service ends. Generated books already downloaded remain subject to the personal/family-use licence in Section 8.2. Data handling on termination is described in our Privacy Policy.

14. Changes to these Terms

14.1 We may update these Terms. If we make material changes, we will notify account holders and update the “Last updated” date. In some cases we may ask you to re-accept the updated Terms before continuing to use Readily.

14.2 Continued use of Readily after changes take effect constitutes acceptance of the updated Terms.

15. Governing law and jurisdiction

15.1 These Terms are governed by the laws of New Zealand, and you submit to the non-exclusive jurisdiction of the New Zealand courts.

15.2 Readily is offered in New Zealand at launch. If you access Readily from Australia, you retain all rights under the Australian Privacy Act 1988 and the Australian Consumer Law, which cannot be excluded.
